Welcome to HEVFY. By accessing or using our AI-powered automation platform at https://hevfy.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you (either as an individual or on behalf of an entity) and HEVFY ("Company," "we," "us," or "our") regarding your use of the Service.

2. Description of Service

HEVFY is an AI-powered automation platform that transforms team conversations into custom business tools and applications. Our Service provides:

• Conversational AI Analysis: Natural language processing to understand your business challenges and automation needs
• Automatic Tool Generation: AI-powered creation of custom web applications, calculators, data processors, and automation tools
• Team Collaboration: Shared workspaces for teams to discuss challenges and deploy automated solutions
• App Management: Interface to view, manage, and use your generated applications
• File Processing: Ability to upload and process files (CSV, documents) for automation purposes

The Service uses advanced artificial intelligence models to analyze conversations, identify automation opportunities, and generate functional code for custom business tools.

3. User Accounts & Responsibilities

3.1 Account Creation

To use certain features of our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

• Generate or deploy applications that are illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to any part of the Service, other users' accounts, or connected systems
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use the Service to create applications that infringe on intellectual property rights of others
• Engage in any automated use of the system (bots, scrapers) without our express written permission
• Transmit any viruses, malware, or other malicious code
• Attempt to reverse engineer, decompile, or discover the source code of any part of the Service
• Use the Service to compete with us or create a similar service
• Generate content that promotes violence, discrimination, or hate speech

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this Acceptable Use Policy.

5. Intellectual Property Rights

5.1 HEVFY Platform Rights

The Service and its original content (excluding user-generated content), features, and functionality are and will remain the exclusive property of HEVFY and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used without our prior written permission.

5.2 AI-Generated Code License

The Service uses AI to generate custom application code based on your conversations and requirements. Regarding the generated code and applications:

• You own the generated applications: Once created, you have full ownership rights to the specific applications generated for you
• License to use: We grant you a perpetual, worldwide, non-exclusive license to use, modify, and deploy the generated code
• HEVFY retains rights: We retain the right to the underlying AI models, platform infrastructure, and methodology used to generate applications
• Similar generations: We may generate similar applications for other users if they have similar requirements

5.3 Feedback and Suggestions

If you provide us with any feedback, suggestions, or ideas about the Service, you grant us the right to use and incorporate such feedback without any obligation to you.

6. User Content and Data Ownership

6.1 Your Content

You retain ownership of all content you submit to the Service, including:

• Conversation messages and descriptions
• Files uploaded for processing (CSV, documents, etc.)
• Custom configurations and settings
• Business logic and requirements you provide

6.2 License Grant to HEVFY

By submitting content to the Service, you grant HEVFY a worldwide, non-exclusive, royalty-free license to use, store, process, and analyze your content solely for the purposes of:

• Providing and improving the Service
• Training and improving our AI models
• Generating custom applications based on your requirements
• Analyzing usage patterns to improve automation suggestions

We will not sell your content to third parties or use it for purposes unrelated to providing the Service.

6.3 Content Responsibility

You are solely responsible for the content you submit and the applications you generate. You represent and warrant that:

• You have the right to submit all content you provide
• Your content does not infringe on any third-party rights
• Your content complies with applicable laws and these Terms

7. Service Modifications and Availability

7.1 Right to Modify

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may:

• Add or remove features
• Change pricing or plans
• Update our AI models and capabilities
• Modify the user interface

7.2 Service Availability

While we strive to provide reliable service, we do not guarantee that the Service will be available 100% of the time. The Service may be unavailable due to:

• Scheduled maintenance
• Technical issues or outages
• Third-party service disruptions
• Force majeure events

We are not liable for any damages or losses resulting from Service unavailability.

8. Payment Terms

8.1 Pricing

HEVFY offers both free and paid subscription plans. Current pricing is available on our website at https://hevfy.com/pricing. All prices are in USD unless otherwise stated.

8.2 Payment Processor

Payments are processed through Paddle (Paddle.com Market Ltd), our third-party payment processor. By making a payment, you agree to Paddle's terms and conditions. We may also offer payment processing through Stripe and PayPal in the future.

8.3 Payment Methods

We accept the following payment methods through Paddle:

• Credit cards (Visa, Mastercard, American Express, Discover)
• Debit cards
• PayPal (where available)
• Other payment methods as made available by Paddle

9. Subscriptions & Billing

9.1 Subscription Plans

Paid subscriptions may be billed monthly or annually, depending on the plan you choose. Your subscription begins immediately upon payment confirmation.

9.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your plan.

9.3 Billing Information

You must provide current, complete, and accurate billing information. You must promptly update all information to keep your billing information current.

9.4 Failed Payments

If a payment fails, we may:

• Retry the payment
• Notify you of the failed payment
• Suspend or downgrade your account after reasonable notice

10. Refunds & Cancellations

10.1 Refund Policy

We offer a 30-day money-back guarantee on all paid plans. If you're not satisfied with the Service within 30 days of your initial purchase, contact us at support@hevfy.com for a full refund.

Refunds after 30 days are considered on a case-by-case basis at our sole discretion.

10.2 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:

• You will retain access until the end of your current billing period
• No further charges will be made
• Your data will be retained according to our Privacy Policy
• Generated applications will remain accessible according to your plan terms

10.3 Refund Process

Refunds are processed through our payment processor (Paddle) and typically appear in your account within 5-10 business days, depending on your payment method and bank.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEVFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code that may be transmitted to or through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Service
• Applications generated by our AI and their performance or functionality

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO HEVFY IN THE PAST SIX (6) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless HEVFY, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Content you submit or applications you generate
• Any harm caused by applications you deploy or share

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of these claims.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at support@hevfy.com or through your account settings.

13.2 Termination by HEVFY

We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Violation of our Acceptable Use Policy
• Fraudulent or illegal activity
• Non-payment of fees
• Request by law enforcement or government agency

13.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and data after a reasonable grace period
• You will lose access to generated applications hosted on our platform
• Any outstanding fees remain due and payable
• Sections of these Terms that by their nature should survive termination will survive

13.4 Data Export

Before termination, you may export your generated applications and data through the Service interface. After termination, we are not obligated to provide access to your data.

14. Governing Law

14.1 Applicable Law

These Terms and your use of the Service are governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law provisions.

14.2 International Use

If you access the Service from outside the United States, you do so at your own initiative and are responsible for compliance with local laws. The Service is controlled and operated from the United States.

14.3 GDPR Compliance

For users in the European Union, we comply with the General Data Protection Regulation (GDPR). Our Privacy Policy provides detailed information about how we handle EU user data.

15. Dispute Resolution

15.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at support@hevfy.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email.

15.2 Arbitration

If informal resolution fails, you and HEVFY agree to resolve any disputes through binding arbitration, except for disputes relating to intellectual property rights or small claims court matters.

15.3 Class Action Waiver

You and HEVFY agree that disputes will be resolved individually, not as a class action, consolidated action, or representative action. Class arbitrations and class actions are not permitted.

15.4 EU Users Exception

For users in the European Union, this arbitration provision does not apply if it is prohibited by the laws of your country of residence. EU users may bring disputes in their local courts.
